Conditions
Translated terms of delivery and payment
(but only the German version is
binding):
§ 1 All offers are directed exclusively
at business customers or commercial enterprises (B2B) and are, unless
otherwise indicated, non-binding and subject to change. They expire no later
than 3 months after issuance. We reserve the right to make technical
modifications and to sell the goods to other parties in the interim. We
retain ownership and copyright regarding drawings and other documentation.
§ 2 All prices are quoted ex works/facility/storage
(EXW), excluding packing or loading, and excluding taxes (VAT). For exports, no VAT is charged from our site.
Intra-Community deliveries within the EU are exempt from VAT, provided the
invoice recipient holds a valid VAT number and provides it to us unsolicited
at the time of ordering. For small orders with a value of less than EUR
100,- a handling fee of EUR 10,- will be charged. For the storage of goods
ready for shipment, a storage fee of EUR 50,- per commenced square meter and month
applies after the first month.
§ 3 All orders become binding upon
order confirmation. In the event of withdrawal from the order, we will
invoice at least 25 % of the order total or the actual economic loss
incurred. Custom-made goods (including special orders and made-to-measure
items) or equipment that has been used once are expressly excluded from
exchange or return.
§ 4 Confirmed orders need not be
fulfilled if performance becomes impossible due to disease or force majeure
(in the case of fish) or if the seller is unable to meet their own
requirements as a result. Agreed delivery periods commence upon receipt of
the countersigned order confirmation or the agreed down payment. Deadlines
are deemed met if the goods are ready for shipment by the end of the period.
We are entitled to make partial deliveries.
§ 5 The risk of transport during
shipment or upon collection is borne by the buyer (CPT). Transport insurance
(CIF) is provided expressly only at the buyer's request and expense. The
insurance surcharge amounts to 1 % of the value of the goods. The transport does not include the unloading of the goods from the
truck, which must be organized by the buyer on his own expenses within one
(1) hour after arriving of the truck (e.g. by a forklift).
§ 6 Prices are payable immediately upon
invoicing, without any deduction for early payment discounts. Following a
formal reminder, default interest of 1 % per commenced month shall be
payable. All costs associated with reminders, bank transfers, and collection
are to be borne by the buyer.
§ 7
The delivered goods remain our property until all
our claims, regardless of the legal grounds, have been satisfied. The buyer
must immediately notify us of any third-party claims or interventions
regarding the goods. The buyer agrees to permit all measures that appear
reasonable for the assertion of our ownership rights (e.g., access to
buildings). In the event of resale, any claims arising against the
subsequent purchaser are deemed assigned to us until the buyer has fulfilled
their payment obligation.
§ 8
Complaints must be submitted in writing (by
letter or email) within 48 hours (2 days). In the event of justified
complaints regarding defects, we shall, at our discretion, either provide a
replacement delivery or issue a credit note. Claims for damages of any kind
are expressly excluded. We provide advice and information regarding the use
of our products to the best of our knowledge and belief but exclude any
liability in this regard. The warranty (max. 1 year) is limited - to the
exclusion of other warranties - to the free replacement of parts where
material or manufacturing defects are proven to exist within the agreed
warranty period. Expressly excluded from the definition of errors or defects
are color variations or surface marks (such as scratches and dust) that may
occur due to manufacturing or storage processes in both plastic parts (e.g.
injection-molded parts) and metal parts (e.g. hot-galvanized parts).
Furthermore, the warranty does not apply to consumables or wear parts.
§ 9
If we exceed an agreed delivery deadline, the
purchaser may withdraw from the contract after a reasonable grace period has
elapsed. If delivery subsequently becomes impossible for us, the purchaser
is entitled to withdraw from the contract; in cases of partial impossibility,
this right applies to the portion of the contract that has become impossible
to fulfill.
§ 10
The place of performance
for delivery and payment is our registered office. The place of jurisdiction
for both parties shall, in any event, likewise be the court having
jurisdiction over our registered office (or, at our discretion, a court
abroad).
§ 11
Should individual
provisions of these Terms and Conditions be or become invalid, the remaining
parts shall remain in effect. The parties undertake to agree upon a
provision that comes closest to the economic intent of the invalid
provisions.
Generally, payment is required in advance (CIA), in
the European Union we may deliver
also cash on delivery (COD fees EUR 20,-).
